Commercial Software License Agreement

Terms of Service

Effective Date: January 1, 2026
Publisher: makgamer.asia [M.A.KGAMER]
Jurisdiction: Islamic Republic of Pakistan

1. Software License Grant & Scope

This End-User Software License Agreement (“Agreement”) is entered into by and between the licensee (“Customer” or “Licensee”) and makgamer.asia [M.A.KGAMER] (“Licensor”). By downloading, installing, copying, or using Distribution ERP Enterprise Edition, Licensee agrees to be bound by the terms of this Agreement.

Licensor grants Licensee a non-exclusive, non-transferable, commercial license to install and execute the compiled binary application strictly on designated on-premise hardware workstations within the Licensee’s registered enterprise facility.

  • On-Premise Deployment: The software is licensed for direct local execution on Windows 10/11 workstations and local server nodes.
  • Multi-Terminal Limits: Each purchased license key specifies the maximum number of concurrent Employee Stations permitted to connect to the designated Server Station.
  • Prohibited Uses: Licensee shall not reverse-engineer, decompile, disassemble, modify, lease, sub-license, or create derivative works of the application binaries.

2. Hardware Node-Locking & Activation

Distribution ERP utilizes a cryptographic Hardware Identifier (“HWID”) architecture to prevent unauthorized software duplication and software piracy.

Hardware Bound Licensing Policy
Licenses are tied to the physical hardware profile of the licensed machine. In the event of catastrophic motherboard or CPU failure, the Licensee may request an administrative HWID transfer through the official support desk at makgamer.asia.

Tampering with cryptographic validation routines, running modified time manipulation engines to bypass expiry dates, or spoofing hardware telemetry constitutes a material breach and terminates the license immediately.

3. DRAP & FBR Regulatory-Support Features

Distribution ERP includes purpose-built automated modules designed to support regulatory reporting:

  • DRAP Form 2-A Warranty Workflow Support: The software facilitates batch-level FEFO tracking, drug sale license expiration alerts, and printing of warranty statement documents to assist with Form 2-A requirements under the Drug Act, 1976 and applicable DRAP regulations. Use of this feature does not constitute a regulatory certification or approval by DRAP.
  • FBR Tax Calculation Engine: The software provides configurable calculation engines for the standard 18% Sales Tax (where applicable), 3% Further Tax on non-active taxpayers, and Section 236G/236H advance income tax withholdings. Tax rates and applicability are subject to the current FBR tax-year rate card, Finance Acts, and FBR notifications; customers must verify current rates before relying on any calculated amount.

Statutory Disclaimer: While every effort is made to maintain alignment with current statutory schedules, the Licensee remains solely responsible for verifying that tax rates, drug registrations, and customer license validity conform to the latest official notifications issued by FBR and DRAP. Distribution ERP is not a substitute for professional legal or tax advice.

4. Local Data Custody & Backup Responsibility

Distribution ERP operates on a strict zero-cloud-exfiltration policy. All transactional vouchers, invoices, inventory books, party ledgers, and financial records reside exclusively in encrypted local database files on Licensee’s physical machines.

Because Licensor possesses no access to Licensee’s on-premise infrastructure, the Licensee assumes full responsibility for configuring automated local backup routines, off-site secondary storage, and uninterruptible power supply (UPS) safeguards to protect hardware against physical data loss.

5. Intellectual Property & Ownership

All title, copyright, trademarks, user interfaces, algorithmic logic, database schemas, and intellectual property rights in and to Distribution ERP belong exclusively to makgamer.asia [M.A.KGAMER]. This Agreement grants Licensee a right to use the software, not ownership of the underlying software code or trade secrets.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Licensor provides the software “as is” without warranties of merchantability or fitness for a particular purpose. In no event shall makgamer.asia [M.A.KGAMER] be liable for any indirect, special, incidental, or consequential damages, including loss of business profits, trade interruption, or statutory penalties arising from data entry discrepancies.

7. Term & Termination

This Agreement is effective from the initial date of software activation. Licensor may terminate the license upon written notice if Licensee materially breaches any term herein. Upon termination, Licensee must cease all execution of the software across all stations.
